融资：学做聪明人 [ 分类:商业 Business ]

《中国经济季刊》主编乔·斯塔威尔认为，强大的政府资金支持让中资企业得以站上跨国并购的舞台。但也正是这种背景，让中国国企的海外并购之路并不像预想中的那样一帆风顺。
但就在这样的两难困境中，逐渐与国际并轨的实战经验却也开始让中国企业的融资技巧在迂回与反复中不断成长，中国企业进行海外并购时不再仅仅依靠国家支持和国内贷款，更灵活的融资方式说明，他们在拿钱与花钱方面学得更聪明了。
海外资金青睐中国企业
实际上，在近年发生的数起海外并购案例中，数额巨大的银团贷款以及大量世界著名金融机构的名字都曾经出现在中国企业的财务安排中。
2003年，在京东方收购韩国现代液晶面板业务3.8亿美元的交易中，京东方除了通过自有资金购汇6000万美元，其余3.2亿美元全部来自国际和国内银团贷款。
为并购IBM个人电脑业务，联想在IBM与财务顾问高盛的协助下，从巴黎银行、荷兰银行、渣打银行和中国工商银行获得了总额6亿美元的国际银团贷款；为协助中海油收购优尼科，高盛财务伙伴有限公司、摩根大通证券(亚太)有限公司、中国工商银行共为其提供了90亿美元的银团贷款。
“在国际投资者对亚洲及中国市场普遍充满信心的情况下，中国企业吸引到足够的资金并非难事。”加拿大联邦国际金融公司董事长王普旭认为，“一方面，投资者可以利用大型国有公司的垄断地位取得稳定的利润；另一方面，考虑到人民币进一步升值的可能性，投资风险也被适当地抵消。”
万盟投资管理有限公司执行董事李斌对此表示赞同：“大量的境外私募资金因为这些原因对中国企业觊觎已久。”国内企业一旦有并购动作，海外资金就会主动找上门来。
学会花钱的艺术
虽然拥有强劲的资金支持，但国内企业在支付方式的选择上，却依然与当前国际通行的做法有较大差距。李斌指出：“近年来发生的大型国际并购中，直接换股往往是主要交易方式。但除了联想在并购IBM的笔记本业务时采用了‘股权+现金’的对价方式，中海油、海尔、南汽在并购时采用的都是全现金支付。”
联想以私募的方式向德克萨斯太平洋集团、泛大西洋集团及美国新桥投资集团发行股份，获得了总计3.5亿美元的战略投资。
用股票完成对价支付，可以尽可能地增加企业资金的流动性。而全现金支付的方式无疑会给完成跨国并购的企业带来极大的经营现金流压力。
中国企业想要融入国际并购大潮，就必须有大型投资咨询机构的积极参与。“投资顾问在并购交易进行之前就会为企业制定周全的应对之策。比如财务性的支出会不会对正常经营的现金流量构成压力；如果收购失败，会不会对公司整体价值构成影响；如果是上市公司，资金流断裂、股价下跌等情况会不会造成被其他公司收购等等。”李斌认为，“中国企业在国际并购中应更加信赖投资顾问，实现更专业化的分工模式，而不再像过去那样让企业的管理者站到台前。”
联想集团同意以12.5亿美元收购IBM旗下个人计算机事业之后，美林与高盛分别获得了高达900万美元的顾问收入。联想最终得以成功收购IBM个人电脑业务，如果没有美林与高盛的牵线搭桥，将会困难重重。IBM聘请美林担任顾问，而高盛则为联想提供了一整套财务解决方案。
随着中国企业得到越来越多境外投资者的垂青，如何谨慎地面对纷至沓来的巨额资金，也成为摆在即将踏上并购之路的中国企业面前的一道难题。“要注意保护民族产业的独立性，不要因此在跨国并购的过程中失去对一些重要产业的控制。”王普旭认为。
“现在的问题不是‘怎么拿到钱’，而是‘有了钱该怎么花’。如何避免盲目扩张，对于尚在转型期的中国企业而言，至关重要。”

境外部分，TIME、Newsweek、USnews、Business Week、Economist、Fortune、Popular Science、National Geographic我比较爱看，除了TIME和Economist，其他几家的线上内容都比较全。
